General terms and conditions

Applicability

These general terms apply to all quotations, assignments and agreements between Data Analytics B.V. and the client, unless the parties have expressly agreed otherwise in writing.

Quotations and formation

Quotations from Data Analytics B.V. are without obligation, unless they state an acceptance period. An agreement is formed when the client accepts a quotation or order confirmation in writing or electronically.

Delivery of services

Data Analytics B.V. performs the agreed work to the best of its knowledge and ability. The concrete scope, planning and way of working are recorded per assignment in a quotation, order confirmation or service description.

• Scope, deliverables and planning are recorded per assignment.
• Changes to the assignment are agreed in writing.
• The client provides the required information and access in good time.

Rates and invoicing

The applicable rates, invoicing moments and payment term are recorded per assignment in the quotation or agreement. All amounts exclude VAT unless stated otherwise.

Confidentiality and data protection

The parties treat information received from each other under the agreement confidentially. Where personal data is processed as part of the services, the parties record this in a data processing agreement. See also the privacy statement.

Intellectual property

Arrangements regarding rights to deliverables, code, models and documentation are recorded in writing per assignment.

Liability

The liability of Data Analytics B.V. is set out per agreement. This page contains no guarantees, service levels or indemnities; those apply only to the extent agreed in writing in the relevant agreement.

Term and termination

The term, renewal and notice period of an assignment or service agreement are recorded per agreement.

Governing law and disputes

All agreements with Data Analytics B.V. are governed by Dutch law. Disputes are submitted to the competent court in the Netherlands.
